6)   submitting comments and/or suggestions to 1 percent wellness (including notes, text, images, designs, computer programs), become and remain property of 1 percent wellness. submissions of any kind are not subject to confidentiality. 1percent wellness exclusively owns all rights to any submissions (including intellectual property rights) and shall have the right to unrestricted use, publication, dissemination to any submission for any purpose, commercial or toherwise without any acknowledgment or compensation to you.

7)   1 percent wellness will utilize reasonable efforts to prevent unauthorized access to our data and files. no system can be completely inpenetrable. use of the site constitues acknowledgement the possibility of an unauthorized third party accessing, viewing, copying, modifying, ordistrubuting any data or files stored using the site. you agree that you are using the site completely at your own risk.

8)   1 percent wellness will not intentionally disclose any personal, identifying information about you to any third parties, except where 1 percent wellnessbelieves such disclosures to be necessary for compliance with the law or enforcing the terms of this site. by using the website, you acknowledge your acceptance of our privacy policy. if you do not consent to our privacy policy, please do not use our site.

9)   1 percent wellness,and anyone responsible for content on the site are not liable for any direct, incidental, consequential, indirect, or punitive damages resulting from your access to the site. all content available on the website is provided “as is”, without warranty express or implied, including but not limited to the implied warranties of merchantability or fitness for a specific purpose. 1 percent wellness does not make any representations regarding the use of the content available on the site,the results of using such materials, the suitability of the materials for an user’s particular needs, or the likelihood that the materials will meet the user’s expectations, or their correctness, accuracy, reliability or correction.

10) 1 percent wellness is not responsible for any performance or service problems caused by any third party site or service. (examples include web hosting providers, stripe/square/other payment processing services, your software). Any problems arising will be governed exclusively by the existing agreement between that third party and you. 1 percent wellness maintains the right to determine, at its sole discretion whether it is responsible for any malfunction or disruption. 1 percent wellness also maintains the right to terminate your account or restrict your use of the site should it determine you have violated these terms. 1 percent wellness maintains the right to refuse or restrict access to the site and its content, products and services in its sole discretion. 1 percent wellness may, in its sole discretion, refund any initial fee chared for use of the site, and/or prorated charge per our refund policy. 1 percent wellness will refuse any refund thirty (30) days after payment made for site access and/or any content, pursuant to 1 percent wellness’s customer license agreement or otherwise, regardless of the reason for the disruption.

11) 1 percent wellness shall not be liable for any special, incidental, indirect, punitive, reliance or consequential damage, whether forseeable or not, including but n ot limited to damage or loss of property, equipment, information or data, loss of profits, revenue, goodwill, cost of capital, cost of replacement services, or claims for service interruptions or transmission problems, caused by any efect on our site, the content, or other related materials, the inability to use services provided, or any cause.

12) You agree to indemnify and hold 1 percent wellness and each of its contributors harmless from any and all liabilities, claims, damages, and expenses, including reasonable attorney’s fees, arising from your breach of this agreement, violation of law by you or the rights of any third party, any materials, information, works and other content of whatever nature or media that you post on the site, your use of the site or any service provided by 1 percent wellness, your own conduct in relation to the site. 1 percent wellness

maintains the right to assume the exclusive defense of any claim for which we are entitled to indemnification. you shall cooperate in a reasonable manner when requested by 1 percent wellness.

13) These terms and conditions exist for the benefit of 1 percent wellness, llc, its subsidiaries, affiliates, third party content providers and licensors, and each shall have the right to assert and enforce such provisions directly or on its own behalf

14) There will be no refunds. all purchases made on this site are final sale

15) This agreement shall be governed and construed in accordance with the laws of the state of tennessee, without gicing effect to any principles of conflicts of law. you further submit to the exclusive jurisdiction of the state and federal courts sitting in maury county, tennessee. if any portion of this agreement shall be deemed unlawful, void, or unenforcable, then that one portion shall be deemed severable from this agreement. such determination shall not affect the validity and enforcability of the remaining portions of this agreement.
